The Gurugram consultant billing an overseas client is in exactly the position where the GST question is misunderstood in both directions. Supplying services to a client outside India is an export, zero-rated where the conditions are met, and requires a Letter of Undertaking to avoid charging IGST you then have to recover. But being an exporter does not by itself compel registration below the threshold in the way inter-state goods supply does. The right answer depends on the specific facts of your contracts and receipts, and it is worth an hour of advice rather than a default.

The rules that apply everywhere

One thing to be clear about before anything else, because almost every page on this subject is not. There is no such thing as a sole proprietorship registration certificate in India. No Act creates the entity, no registrar records it, and nothing is issued. The business exists the moment you start trading. What people mean by registration is the set of registrations under other laws that produce a document in the firm name, and what a bank actually asks for, implementing the RBI KYC framework, is two of those documents plus your own KYC and a proprietary declaration. Udyam is free and instant and makes a good first one. The second is the decision worth paying for, and taking voluntary GST purely to fill that slot is the expensive mistake this page exists to prevent.

Why do Gurugram proprietors end up registering for GST when they did not need to?

Because Haryana does not levy professional tax, so the lightest second-document route that a Mumbai or Bengaluru proprietor would use is simply unavailable here. Faced with a Shop Act registration that looks harder and a bank that wants a second document today, people take GST because it is quick and free at the point of application. The cost arrives afterwards, as a permanent filing obligation with late fees running on nil returns. The Shop Act route is almost always the better trade.

I consult for overseas clients from Gurugram. Do I have to register for GST?

Not automatically. Exporting services is not one of the categories that compels registration below the threshold, unlike inter-state supply of goods. But if you are registered, or need to be, you should hold a Letter of Undertaking so exports go out at zero rate rather than at 18 per cent IGST recovered months later. The LUT is free and filed annually. Whether to register at all turns on your turnover and on whether any Indian-client work is in the mix.

My client wants to onboard me as a vendor. Is a proprietorship enough?

Frequently not, with multinational clients. Vendor onboarding policies often require an incorporated entity, and that is a policy position no documentation overcomes. Before you set up, ask the clients you actually intend to serve what their requirement is. It is a faster route to the right structure decision than any general comparison of proprietorship against company.
