Sole Proprietorship

There is no such thing as a sole proprietorship registration certificate in India. No Act creates the entity, no registrar records it, and nothing is issued. The business exists the moment you start trading. What you actually need is evidence that it exists, and specifically two government-issued documents in the firm name, because that is what a bank requires before opening a current account. Getting the right two is the whole job.

Partnership Firm

Partnership firm registration means filing a statement signed by every partner, with the prescribed state fee, before the Registrar of Firms for the area of the firm's place of business, under Section 58 of the Indian Partnership Act, 1932. It is optional. The firm exists the moment the partners agree, and it can trade lawfully without ever going near a Registrar. What registration buys is the ability to enforce your contracts, because Section 69 bars an unregistered firm from suing a third party and bars a partner from suing the firm or a co-partner. Your right to be paid survives non-registration. Your ability to do anything about it does not.

Section 8 Registration

Section 8 company registration means incorporating a not-for-profit company under Section 8 of the Companies Act, 2013: the licence and the certificate of incorporation are issued together on one SPICe+ filing, there is no minimum capital, and profits can never be paid out to members. CorporateWalla files it from ₹8,999 plus government fee and stamp duty, in about 15 working days. A Section 8 company is what you incorporate when the money is going to come from institutions rather than only from people who already know you. Corporates running CSR programmes, grant-making foundations and government departments all want a structure they can verify on a public register before they release funds. That verifiability is what you are buying, and it is worth the heavier compliance only if institutional funding is genuinely your plan.

FSSAI License

Every food business in India needs FSSAI Basic Registration or an FSSAI licence. From 1 April 2026 the tier follows new turnover limits: Basic Registration up to ₹1.5 crore, a State licence from ₹1.5 crore to ₹50 crore, and a Central licence above ₹50 crore, and new licences no longer expire. Government fee from ₹100 a year; our fee from ₹2,699.

FSSAI Renewal

FSSAI licence renewal is no longer required. Under the amendment regulations in force from 10 March 2026 a licence or registration stays valid unless it is suspended, cancelled or surrendered, and FSSAI’s FAQs of 27 March 2026 confirm that existing food businesses do not need to renew and are migrated on FoSCoS, with the same licence number. What still matters is the annual fee, the right tier under the turnover limits that changed on 1 April 2026, and any licence that lapsed before the change.

Shop Act Registration

Shop Act registration is the certificate a shop, office or other commercial establishment takes under its state's Shops and Establishments Act. In Delhi it is filed online, in real time, under the Delhi Shops and Establishments Act, 1954; in Maharashtra it is the Gumasta registration. We file it in any state from ₹1,799 plus the state fee. A private limited company has a certificate of incorporation. A proprietorship has nothing equivalent, so when you walk into a bank to open a current account, they ask for Shop Act. That is why most people end up on this page — the registration is a labour law requirement, but the trigger is almost always the bank.
