LLP registration in India is done online with the MCA's FiLLiP form, which incorporates the LLP and allots DPIN to new designated partners; the name can be reserved first through RUN-LLP or inside FiLLiP. You need at least two designated partners, one of them resident in India, and no minimum contribution. The government fee starts at ₹500 and rises with contribution, and the LLP agreement must be filed in Form 3 within 30 days of incorporation.
A Limited Liability Partnership (LLP) is a separate legal entity registered under the Limited Liability Partnership Act, 2008. It combines a partnership-style operating structure with limited liability, subject to applicable law.

The appropriate structure depends on ownership, funding plans, taxation, compliance requirements and long-term business objectives.
A typical LLP incorporation requires:
Depending on the selected package:
CorporateWalla professional fees currently start from ₹6,299.
| Plan | Professional Fee | Indicative Delivery | Key Coverage |
|---|---|---|---|
| Starter | From ₹6,299 | 7–10 business days | Designated partner setup, DSC, LLP Agreement drafting, name approval, incorporation |
| Standard | Custom quote | 4–5 business days | Starter coverage with faster processing |
| Pro | Custom quote | 2–3 business days | Expanded assistance and faster processing |
| Total contribution of partners | FiLLiP incorporation fee | Normal fee for later forms (Form 3, 8, 11) |
|---|---|---|
| Up to ₹1 lakh | ₹500 | ₹50 |
| Above ₹1 lakh, up to ₹5 lakh | ₹2,000 | ₹100 |
| Above ₹5 lakh, up to ₹10 lakh | ₹4,000 | ₹150 |
| Above ₹10 lakh, up to ₹25 lakh | ₹5,000 | ₹200 |
| Above ₹25 lakh, up to ₹1 crore | ₹10,000 | ₹400 |
| Above ₹1 crore | ₹25,000 | ₹600 |
Add the name reservation fee if you use RUN-LLP, stamp duty on the LLP agreement at your state's rate, and DSCs for the designated partners. Worked example: two partners contributing ₹50,000 each (₹1,00,000 in total) pay ₹500 to the MCA for incorporation and ₹50 as the normal fee on Form 3. Raise the contribution to ₹6,00,000 and the incorporation fee becomes ₹4,000. Most small LLPs therefore start with a modest contribution and increase it later through Form 3.
Source: Annexure A to the LLP Rules, 2009 as substituted by the LLP (Amendment) Rules, 2022 (G.S.R. 109(E), in force 1 April 2022). The MCA challan at filing is final. Use the company registration cost calculator to add your state's stamp duty.
Government fees, state stamp duty and GST are separate unless explicitly stated otherwise in the selected package.
The exact fee and deliverables are confirmed at checkout because government charges and package inclusions can vary.
| Filing | What it is | Due date |
|---|---|---|
| Form 3 | LLP agreement and any change to it | Within 30 days of incorporation (or of the change) |
| Form 11 | Annual return | 30 May (within 60 days of the financial year end) |
| Form 8 | Statement of Account and Solvency | 30 October (within 30 days from the end of six months of the financial year) |

Late Form 3, 8 and 11 attract an additional fee that grows with the delay, on top of the normal fee. Our LLP annual compliance plan files all three; the LLP annual compliance guide explains the penalties. Need only the agreement filed? See LLP Form 3 filing in Kolkata.
