These Terms of Service ("Terms") govern your access to and use of the services provided by DSG CORPORATE FINANCIAL ADVISORS LLP ("CorporateWalla", "we", "us", or "our"), including our website at corporatewalla.com, our lead forms, our CA consultation services, and any registration / filing / compliance services we provide.
By accessing our website, submitting a lead form, or engaging us for any service, you agree to be bound by these Terms. If you do not agree, please do not use our services.
1. Who we are
CorporateWalla® is a brand of DSG CORPORATE FINANCIAL ADVISORS LLP, a Limited Liability Partnership registered in India under the Limited Liability Partnership Act, 2008. GSTIN: 19AAUFD6116A1ZH. Registered office: 129A, Bangur Avenue, Block A, Near Reliance Smart, Kolkata, West Bengal 700055, India.
2. Services we provide
We provide the following categories of services (collectively, the "Services"):
- Business registration: Pvt Ltd, LLP, OPC, sole proprietorship, partnership firm, section 8 company
- Tax registration and filing: GST, income tax, TDS, professional tax
- Compliance: annual ROC filing, board meeting minutes, statutory registers, statutory audit coordination
- Intellectual property: trademark, copyright registration and search
- Licenses and registrations: FSSAI, MSME / Udyam, IEC, shop & establishment, PSARA, DSC, professional tax
- Accounting and payroll: monthly bookkeeping, virtual CFO, payroll processing, PF/ESI
- NRI / foreign services: NRI ITR filing, FEMA compliance, foreign subsidiary setup
- Startup services: Startup India recognition, ESOP scheme documentation
- Calculators and content: tax calculators, guides, articles (free, no warranty)
3. Eligibility
- You must be at least 18 years old and legally competent to enter into a contract under the Indian Contract Act, 1872
- For business services, the entity must be a valid legal entity (or proposed entity) under Indian law
- You must provide accurate, current, and complete information during onboarding and throughout the engagement
- You authorize us to act as your representative before MCA, Income Tax, GST, Trademark Registry, and other authorities to the extent required to perform the Services
4. Engagement and fees
a) Pricing
- Service fees are displayed on the relevant service page and confirmed in your order / engagement letter
- Government fees, stamp duty, and statutory charges are billed separately at actuals (where applicable)
- GST @ 18% is charged on our service fees, as per applicable law
b) Payment terms
- 50% advance is required to begin work; 50% is due on delivery of the final deliverable (e.g., Certificate of Incorporation, GST certificate, ITR-V)
- For monthly retainer services (bookkeeping, payroll, virtual CFO), payment is due monthly in advance
- Late payment attracts interest at 1.5% per month (18% per annum) on the outstanding amount
- We reserve the right to suspend or terminate Services for non-payment after 30 days

5. Your obligations
- Provide accurate information: You are responsible for the accuracy of all KYC, financial, and business data you provide. We are not liable for losses arising from inaccurate or incomplete information supplied by you
- Timely response: Respond to our requests for documents, signatures, and clarifications within the timelines we specify. Delays in your response delay our delivery
- Authorized representative: For services requiring MCA / GST / IT portal actions, you authorize us to file on your behalf using your DSC / DIN / Aadhaar e-sign
- Compliance with law: The information you provide must not violate any applicable law (including anti-money-laundering, anti-bribery, and sanctions laws)
- Confidential information of third parties: Do not provide personal data of any individual without their consent (DPDP Act 2023)
6. Our obligations
- Perform the Services with reasonable skill, care, and diligence, in accordance with industry standards
- Maintain confidentiality of your information, subject to disclosure required by law or to file on your behalf
- Comply with applicable laws, including the DPDP Act 2023, IT Act 2000, ICAI / ICSI codes of conduct (for our CAs / CSs)
- Keep you informed of progress via your registered email, WhatsApp, and phone
- Hold a valid certificate of practice (for CAs) and certificate of practice (for CSs) — verify on request
7. Timeline commitments
We commit to delivery timelines as specified in your chosen plan (Starter / Standard / Pro). "Days" means business days (Mon–Fri, excluding Indian national holidays). Government processing times may vary; if MCA / IT / GST delay is the cause, the timeline extends by the same number of days and no refund is due for that portion.
8. Money-back guarantee
Our Standard and Pro plans come with a 7-business-day money-back guarantee from the date of payment. If we fail to file your incorporation / registration / return within 7 business days, you receive a 100% refund. The 50% balance (due on delivery) is not charged until the deliverable is provided. 9. Intellectual property
- CorporateWalla® is a registered trademark (Reg. No. 5857120, Class 35) of DSG CORPORATE FINANCIAL ADVISORS LLP. Use of our brand, logo, or content without written permission is prohibited
- Our website content (articles, guides, calculators) is licensed for personal / non-commercial use. Republishing requires written consent and attribution
- Your KYC documents and business data remain your property. We use them solely to perform the Services
10. Confidentiality
We treat your business, financial, and personal information as strictly confidential. Our CAs / CSs are bound by professional confidentiality (ICAI / ICSI codes). We do not disclose your information to any third party except (a) as required to perform the Services, (b) with your written consent, or (c) as required by law.
11. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability for any claim arising from or related to the Services is limited to the fees actually paid by you for the specific Service giving rise to the claim in the 12 months preceding the event.
We are not liable for:
- Indirect, consequential, incidental, or punitive damages
- Loss of profits, revenue, data, or business opportunity
- Delays caused by government portals, your non-response, force majeure, or events beyond our reasonable control
- Penalty or interest imposed by government authorities due to your late response, inaccurate information, or pre-existing non-compliance
- Third-party service failures (payment gateway, SMS provider, email provider)
12. Indemnity
You agree to indemnify and hold us harmless from any third-party claim, demand, or damage (including reasonable legal fees) arising from (a) your breach of these Terms, (b) your violation of any law, (c) inaccurate information provided by you, or (d) your use of our deliverables for unlawful purposes.
13. Termination
- By you: You may terminate the engagement any time before we have filed your application. The advance payment is non-refundable once work has begun (see Refund Policy)
- By us: We may suspend or terminate Services for (a) non-payment after 30 days, (b) abusive / fraudulent conduct, (c) request to violate law, or (d) your repeated non-response beyond 90 days
- Effect: Upon termination, we will hand over all work done to date (subject to payment of dues). Confidential information will be returned or destroyed per DPDP Act
14. Dispute resolution
- Step 1: Email our Grievance Officer at legal@corporatewalla.com — we will respond within 15 days
- Step 2: If unresolved, mediation through the Indian Council of Arbitration (ICA) or a mutually agreed mediator
- Step 3: Arbitration under the Arbitration and Conciliation Act, 1996, in Kolkata, India, in English. Sole arbitrator appointed by mutual consent
- Jurisdiction: Courts of Kolkata, India
15. Force majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including government action, natural disaster, pandemic, war, internet / power outage, or strike. The timeline for affected Services is automatically extended by the duration of the force majeure event.
16. Miscellaneous
- These Terms, plus your engagement letter / order, constitute the entire agreement
- If any provision is held invalid, the remainder remains in effect
- Our failure to enforce any right does not waive that right
- You may not assign your rights under these Terms without our written consent
- We may assign these Terms to any affiliate or in connection with a merger or sale of business
