CW · OVERVIEW

The 1860 Act does not apply here

Most national guides describe society registration under the Societies Registration Act, 1860. In West Bengal that Act no longer applies. Section 36(1) of the West Bengal Societies Registration Act, 1961 repealed the 1860 Act in its application to the state.

The difference is practical, not academic. The 1860 Act asks for a memorandum and a set of rules certified by three governing body members. The West Bengal Act prescribes what the memorandum must state and lists the subjects the regulations must cover, and the Registrar will not accept a memorandum without conforming regulations. A template drafted for Delhi or Uttar Pradesh is a common reason for a returned application.

Societies registered in West Bengal under the 1860 Act are deemed registered under the 1961 Act, with their principal office treated as the registered office, and were required to bring their memorandum and regulations into line with the new Act.

CW · WHO IT APPLIES TO

Who should register a society in Kolkata

Section 4 allows any seven or more individuals associated for the promotion of literature, arts, science or religion, for charitable purposes, for the diffusion of knowledge, or for other objects the State Government notifies, to form a society by subscribing to a memorandum and filing it with the Registrar.

A society is the natural structure where membership and elections matter. In Kolkata that includes para clubs and puja committees, residents' and alumni associations, cultural and sports bodies, school and library committees, and NGOs run by a founding group of seven or more.

If you are a family or a small group that wants trustee control rather than elections, compare trust registration in Kolkata. If you expect large CSR grants, compare Section 8 registration in Kolkata.

CW · PROCESS

The process, step by step in Kolkata

Step 1. Name and objects

Section 10 bars a name identical with, or too nearly resembling, that of an existing society. We settle a name and objects that fit Section 4 and that will also pass charitable-purpose tests later at CIT (Exemption), Kolkata.

Step 2. Draft the memorandum

Section 5 requires the name, the registered office address, the objects, the names of the first governing body, and the names, addresses and occupations of the signatories.

Step 3. Draft the regulations

Section 6 lists the matters the regulations must deal with, including the governing body, admission and removal of members, meetings, accounts and audit. We add a dissolution clause consistent with Section 27, which bars distribution of surplus to members.

Step 4. Collect signatures and office documents

All seven or more members sign the memorandum, the President and Secretary sign every page, and the landowner's notarised NOC and title papers are assembled.

Step 5. File on e-District

The applicant creates a login on the e-District portal, selects new society registration under the West Bengal Act, completes the form and uploads the documents. The portal issues an application number for tracking, with email and SMS alerts on each status change.

Step 6. Scrutiny and queries

A dealing assistant checks the file and forwards it to the Registrar. If anything is deficient, the application comes back online with the points listed, and we correct and resubmit.

Step 7. Payment order and fee

When the file is in order, the Registrar issues a payment order and the Rs 150 fee is paid online from the dashboard.

Step 8. Digitally signed certificate

The Registrar approves the application and the digitally signed certificate of registration is downloaded from the portal. PAN, the bank account and 12A and 80G follow.

Changing the society later

  • Altering the memorandum needs the Registrar's prior written permission and a three-fifths vote of members (Section 8).
  • Regulations can be altered by three-fifths of members, subject to the Act.
  • Every alteration is filed with the Registrar within 30 days (Section 9), through e-District.
  • Voluntary dissolution needs a three-fifths vote, followed by a Gazette notice and a three-month objection period (Section 24). Surplus cannot go to members (Section 27).
  • The court can dissolve a society on the Registrar's application where, among other grounds, membership falls below seven or the society has been inactive for over three years (Section 25).

Why CorporateWalla

We are a CA and CS practice operating under DSG CORPORATE FINANCIAL ADVISORS LLP from 129A, Bangur Avenue, Block A, Lake Town, Kolkata 700055, a short drive from the Registrar's office in Salt Lake. We have supported 2,500+ companies across our practice.

  • Memorandum and regulations drafted to the West Bengal Act's own sections
  • Landowner documents checked before upload, since the office NOC and title proof are where many files come back
  • Annual Section 17 filings can stay with the same team, so the society does not drift into default
CW · COMMON MISTAKES

Mistakes we see on Kolkata society files

  • Using an 1860 Act template with rules certified by three members, instead of regulations that meet Section 6 of the West Bengal Act.
  • A landowner NOC on plain paper, or one not notarised or attested, for the registered office.
  • Names on the memorandum that do not match Aadhaar, which forces an affidavit and a resubmission.
  • A name too close to an existing society, especially common for para clubs and puja committees.
  • Holding AGMs but never filing the Section 17 return, so the Registrar's record shows a governing body from years ago.

CW · LOCAL SCENARIO

A Kolkata example

A Behala puja committee that had run for years as an informal club decided to register so it could open a bank account and accept larger sponsorships. Its first upload was returned because the club room's owner had signed a no-objection letter on plain paper and the tax receipt was in a late relative's name. We arranged a notarised NOC on stamp paper from the current owners with their Aadhaar, rewrote the regulations to cover membership, audit and dissolution under the West Bengal Act, and resubmitted. The payment order followed and the certificate was downloaded from e-District.

Illustrative scenario based on typical file patterns. Not a named client engagement.

Which law governs society registration in Kolkata?

At least seven individuals under Section 4. If membership later falls below seven, that is one of the grounds on which a court can dissolve the society under Section 25.

Who registers a society in Kolkata?

How long does society registration take in Kolkata?

The notified service timeline is 30 days from a complete application under the West Bengal Right to Public Services Act. Returns for deficient documents add time, so most delay comes from the landowner papers and mismatched names.

What does a West Bengal society file every year?

Is audit compulsory for a society in West Bengal?

Yes. Section 15 requires proper books of account at the registered office and an audit once a year by a duly qualified auditor, whatever the society's size.

Can a society change its objects after registration?

Yes, with the Registrar's prior written permission and a three-fifths vote of members under Section 8. The alteration must be filed with the Registrar within 30 days under Section 9.
