CW · OVERVIEW

What Form 3 means for a Pune LLP

Form 3 is how an LLP files its executed LLP agreement with the Registrar of Companies. The agreement sets out the mutual rights and duties of the partners. It must be executed on correctly stamped paper before it is filed, and the stamp duty is governed by the State Stamp Act of the state where the LLP's registered office is located - not by where the partners live or where the business operates.

For a Pune LLP that means Maharashtra rates apply. Maharashtra charges 1 per cent of capital contribution on the LLP agreement, subject to a state cap. Because it scales with capital rather than sitting flat, Maharashtra is one of the more expensive states for a capital-heavy LLP.

CW · WHO IT APPLIES TO

The point most founders get wrong

Stamp duty on the LLP agreement is not paid on the MCA portal. It is a state subject, paid under the relevant State Stamp Act through that state's own stamping route. The MCA fee for filing Form 3 is a separate and much smaller amount.

For Pune, the stamping route is: Maharashtra GRAS or e-SBTR, which have replaced paper stamping for most denominations.

Where a state has not prescribed a separate LLP rate, the duty applicable to a partnership agreement applies instead, following the Finance Bill 2009 position and MCA guidance.

CW · JURISDICTION

Why the state matters so much here

The spread across states is wider on LLP agreements than on almost any other incorporation document, because some states charge a flat fee and others charge a percentage of capital contribution.

StateBasisEffect on a capital-heavy LLP
West BengalFlat Rs 150 regardless of capitalNegligible, does not scale
Delhi1 per cent of capital, capped Rs 5,000Capped, so predictable
Maharashtra1 per cent of capital, subject to capScales with capital
KarnatakaArticle 5(e), Karnataka Stamp ActSteps up above the base slab
TelanganaState Stamp Act on capital contributionScales with capital

[VERIFY at filing] Exact slabs and caps are revised by state governments without central notification, and published rates disagree across sources. Figures are confirmed against the Maharashtra Stamp Act or the state e-stamping portal before the agreement is executed, never quoted from a static table.

CW · DOCUMENTS

Documents required

  • Certificate of Incorporation of the LLP
  • LLP agreement executed by all partners
  • Proof of stamp duty payment or the e-stamp certificate
  • PAN of the LLP
  • Digital signature of a designated partner
  • Consent of partners where the agreement records changed contribution
CW · PROCESS

The process, step by step in Pune

Step 1. Draft the LLP agreement

The agreement records capital contribution, profit sharing, management rights and exit terms. Contribution drives the stamp duty, so it must be settled first.

Step 2. Compute the stamp duty

Maharashtra charges 1 per cent of capital contribution on the LLP agreement, subject to a state cap. Because it scales with capital rather than sitting flat, Maharashtra is one of the more expensive states for a capital-heavy LLP.

Step 3. Procure the stamp

Duty is paid through Maharashtra GRAS or e-SBTR, which have replaced paper stamping for most denominations. This is a Maharashtra process and is entirely separate from the MCA portal.

Step 4. Execute the agreement

All partners sign on the correctly stamped instrument. Signing before stamping creates a defect that is expensive to cure.

Step 5. File Form 3

The executed agreement is attached to Form 3 and filed within 30 days of incorporation, signed with a designated partner's DSC and certified by a professional.

Step 6. Registrar acknowledgement

The agreement is recorded against the LLP's file. Any deficiency in stamping can surface here as a resubmission.

CW · WHY CORPORATEWALLA

Why CorporateWalla

We are a CA and CS practice operating under DSG CORPORATE FINANCIAL ADVISORS LLP, working with Pune LLPs from our Kolkata office. The work that matters here is computing Maharashtra stamp duty correctly and getting the agreement stamped before it is signed.

  • We compute Maharashtra duty against the State Stamp Act rather than a static published table
  • Agreement stamped before execution, which is the single most common defect we are asked to cure
  • Filed inside the 30-day window, because the penalty has no ceiling
CW · COMMON MISTAKES

Mistakes we see on Pune files

  • Paying stamp duty on the MCA portal. It is a state subject and is not collected there.
  • Signing the agreement before stamping it, which requires adjudication to cure.
  • Applying another state's rate. Duty follows the registered office, so a Pune LLP pays Maharashtra rates even where every partner lives elsewhere.
  • Letting the 30-day window lapse on the assumption that the penalty is capped. It is not.

CW · LOCAL SCENARIO

A Pune example

A Pune LLP with a large capital contribution had its agreement drafted and signed by all partners before anyone computed the stamp duty. Under the Maharashtra position - 1 per cent of capital contribution, subject to cap - the instrument was understamped. Curing it required adjudication, and by the time the corrected agreement was filed the 30-day window had passed and the per-day penalty had begun to run.

Illustrative scenario based on typical file patterns. Not a named client engagement.
