Changing a company name is a multi-step process involving MCA filing, EGM resolution, and statutory updates. In this guide, we cover the entire process, cost, and timeline.

Process of Changing Company Name

Step 1: Name Availability Check

Check MCA + Trademark database for availability. We recommend keeping 2-3 name options.

Step 2: Board Resolution

Board passes a resolution approving the name change + convening of EGM.

Step 3: EGM + Special Resolution

Convene EGM. Pass Special Resolution (75% majority) approving the name change + amended MoA.

Step 4: File MGT-14

File Form MGT-14 (resolution) with the ROC within 30 days of EGM.

Step 5: RUN for New Name

Apply for new name via RUN form. If approved, the new name is reserved for 90 days.

Step 6: File INC-24

File Form INC-24 with the ROC. ROC may call for hearing. Approval: 15-30 days.

Step 7: File INC-25

After INC-24 approval, file Form INC-25 (for new Certificate of Incorporation).

Step 8: New Certificate of Incorporation

ROC issues new Certificate of Incorporation (COI) with the new name. PAN + TAN are updated automatically (no change in PAN number, but name is updated).

Step 9: Statutory Updates

Update: GST certificate, bank account, FSSAI, IEC, trademark, contracts, letterhead, website, invoices, KYC, FSSAI, MSME, all statutory certificates.

Old Contracts + Invoices

As per Section 23 of the Companies Act, old contracts + invoices remain valid for 1 year after the name change. You can use both old and new names on invoices for 1 year (or until the stock of old stationery is exhausted).

Q: Will the CIN change?

A: No. CIN (Corporate Identification Number) is permanent. Only the company name and the Certificate of Incorporation are updated.

Q: Will the PAN change?

A: No. PAN number is permanent. Only the name in PAN is updated (no change to PAN number). New PAN card is issued with the new name.

Q: Should I trademark the new name?
