The process, step by step in Delhi

Step 1. Digital Signature Certificates

Class 3 DSCs are issued for every proposed director and subscriber. Nothing can be filed until these are live.

Step 2. Name reservation

The proposed name is reserved through SPICe+ Part A. ROC NCT of Delhi-I & II assesses it against existing names and trademark conflicts.

Step 3. Drafting MOA and AOA

The Memorandum and Articles are drafted with the registered-office clause stating a Delhi address inside NCT of Delhi.

Step 4. SPICe+ Part B submission

The incorporation application is filed electronically and routed to ROC NCT of Delhi-I / Delhi-II (split by district). Stamp duty on the MOA and AOA is charged on authorised share capital, not paid-up capital, and is paid electronically through the SPICe+ gateway at the rate of the state where the registered office sits. For a Delhi office, Delhi rates apply.

Step 5. Registrar scrutiny

ROC NCT of Delhi-I & II at Delhi examines the file. Any objection is raised as a resubmission request against this office, not any other NCR registrar.

Step 6. Certificate of Incorporation

ROC NCT of Delhi-I & II issues the Certificate of Incorporation with CIN, along with PAN and TAN.

Step 7. Post-incorporation setup
