Until 2023, a Delhi company applied to ROC Delhi to strike off its name, and processing time depended on that office's queue. The Companies (Removal of Names of Companies from the Register of Companies) Amendment Rules, 2023, notified as G.S.R. 298(E) on 17 April 2023 and in force from 1 May 2023, moved STK-2 to a single Registrar at the Centre for Processing Accelerated Corporate Exit. That Registrar has territorial jurisdiction across India. C-PACE itself sits at the Indian Institute of Corporate Affairs in Manesar, Gurugram district, but no visit is involved: the application is filed and processed online.
What C-PACE did not change is the rest of the company's record. The company's historical file, its AOC-4 and MGT-7 filings, its charges and any notices for past defaults remain with its jurisdictional ROC. For NCR that is now one of four offices, following the MCA reorganisation of 16 February 2026: ROC NCT of Delhi-I or Delhi-II for a Delhi address, ROC Haryana at Chandigarh for Gurugram and Faridabad, and ROC Uttar Pradesh-II, Noida for Noida, Greater Noida and Ghaziabad.
In practice a closure in NCR therefore runs on two tracks. The backlog, penalties and any open proceedings are settled with the local registrar first. Only then does the STK-2 go to C-PACE.
Strike-off is not available, or not yet available, where the company has an open charge on the MCA register, has changed its name or shifted its registered office between States in the last three months, is under inspection or investigation, or still has assets or creditors. Section 8 and listed companies use different exit routes. Closing an LLP or OPC instead? See LLP closure and OPC closure.
| Authority | Role in the closure |
|---|---|
| Registrar, C-PACE | Examines STK-2, publishes the STK-6 notice, strikes off the name |
| ROC NCT of Delhi-I / Delhi-II, ROC Haryana or ROC Uttar Pradesh-II, Noida | Overdue AOC-4 and MGT-7, adjudication of penalties for past defaults, charge satisfaction, the company's historical file |
| GST authority (State or Central, as allotted) | Cancellation of registration and the GSTR-10 final return |
| Income Tax Department | Pending returns, refunds and any outstanding demand, which must be settled before liabilities are nil |
| EPFO and ESIC | Closure of establishment codes where the company had registered employees |
| Local body or labour department | Surrender of any shop and establishment registration or trade licence |
Registrar mapping per the MCA reorganisation effective 16 February 2026. We confirm the jurisdictional ROC from the company's CIN master data before starting.
We pull the company's MCA master data, confirm the jurisdictional ROC, and list pending filings, open charges and any notices.
Overdue AOC-4 and MGT-7 are filed with the jurisdictional ROC with the additional fee, and any charge is satisfied in CHG-4.
Creditors, statutory dues and director loans are paid or waived in writing, receivables collected and the income-tax position settled.
GST cancellation is applied for, EPF and ESIC are closed where applicable, the shop or trade licence is surrendered, and the bank account is closed after the last payment.
The board approves the closure, members pass the special resolution and MGT-14 is filed.
Each director signs the indemnity bond and affidavit, and the statement of accounts is drawn showing nil assets and liabilities.
The application is certified by a practising professional and filed with the Rs 10,000 fee.
C-PACE publishes the STK-6 notice inviting objections within 30 days, then strikes off the name and publishes the notice in the Official Gazette, from which date the company is dissolved.

All fees and charges listed are indicative only and do not constitute a binding offer. Final amounts may vary depending on the volume of work and the complexity involved.
Strike-off removes the company from the register of companies. It does not automatically cancel anything registered with other departments, and those registrations keep generating obligations until they are closed.
Our GST cancellation service handles the GST side where the registration is still active.
| Point | Position |
|---|---|
| Director and member liability | Continues under Section 248(7) as if the company had not been dissolved |
| STK-3 indemnity | Each director undertakes to meet any liability that surfaces later |
| Restoration | An aggrieved company, member, creditor or workman can apply to the NCLT under Section 252 |
| Records | Keep the closure set, bank closure letter, GST cancellation order and final returns |
Strike-off is not a way to walk away from a tax demand or a creditor. Anything left unpaid follows the directors.
| Strike-off (STK-2) | Voluntary liquidation or winding up | Dormant status (MSC-1) | |
|---|---|---|---|
| Suits | No business, no assets, no liabilities | Assets to distribute or creditors to pay | A company kept for later use |
| Decided by | Registrar, C-PACE | Liquidator and the NCLT | Jurisdictional ROC |
| Company continues? | No | No | Yes, with minimum filings |
| Relative cost and time | Lowest | Highest | Low, but filings continue |

We are a CA and CS practice operating under DSG CORPORATE FINANCIAL ADVISORS LLP, with an office in Delhi at 04, Malook Singh Marg, Arjun Nagar, Krishan Nagar, Delhi 110051. STK-2 is one form, but a closure is a dozen small cut-offs, and most rejections come from one of them being missed.

A software services company registered in Okhla had stopped trading in 2024. Its directors wanted it closed, but its MGT-7 for one year was never filed and its GST registration was still active. We confirmed from its CIN that the file now sits with ROC NCT of Delhi-I, filed the pending return there with the additional fee, applied for GST cancellation and filed GSTR-10 after the order, closed the bank account and drew STK-8 to a date nine days before filing. The STK-2 then went to C-PACE in a single submission.
Illustrative scenario based on typical file patterns. Not a named client engagement.
In Delhi NCR we also handle Nidhi company registration and public limited company registration. If you would rather keep the company, annual compliance clears the backlog; to start a fresh one, see private limited company registration in Delhi. Questions: contact us.
No. Since 1 May 2023 strike-off applications under Section 248(2) are filed in Form STK-2 with the Registrar at the Centre for Processing Accelerated Corporate Exit (C-PACE), which has territorial jurisdiction across India. C-PACE is located at the Indian Institute of Corporate Affairs, Manesar, in Gurugram district. Your jurisdictional ROC in Delhi, Haryana or Noida still matters for the company's earlier filings and any penalty proceedings.
The MCA fee for Form STK-2 is Rs 10,000. CCFS-2026, which allowed STK-2 at a reduced fee, closed on 15 September 2026, so the full fee applies now. MGT-14, notary charges, stamp paper for the STK-3 and STK-4 documents and any additional fees on overdue annual filings are extra, at actuals.
Not until the backlog is cleared. The STK-2 process expects the company to be up to date with its filings. The overdue returns are filed with the jurisdictional ROC, ROC NCT of Delhi-I or Delhi-II, ROC Haryana or ROC Uttar Pradesh-II, Noida, with the additional fee for delay, and any penalty adjudication for past defaults also sits with that office.
Yes, in practice. Apply for cancellation on the GST portal and file the final return in GSTR-10 within three months of the date of cancellation or the date of the cancellation order, whichever is later. A registration left active keeps generating return obligations and late fees after the business has stopped.
Delhi does not currently levy professional tax, so a company with staff only in Delhi has no professional tax registration to surrender. If the company had employees in a State that does levy it, that State's registration has to be closed separately.
Typically the bank account, GST, EPF and ESIC where registered, any shop and establishment registration or trade licence with the local body, and any import-export code. We list them at engagement so nothing stays live after the company is dissolved.
Preparing and filing STK-2 takes us about 7 to 10 business days once liabilities are nil and documents are signed. After filing, C-PACE examines the application, publishes the STK-6 notice with a 30-day objection window, and then strikes off the name. Overall we plan for several months, depending on queries.
Then strike-off is not the right route. A company with assets to distribute or creditors to pay generally needs voluntary liquidation under the Insolvency and Bankruptcy Code or winding up by the Tribunal. We quote that scope after reviewing the balance sheet.
Eligibility review, board and special resolutions with MGT-14, STK-3 and STK-4 drafts for each director, the STK-8 statement of accounts, STK-2 certification and filing, and tracking to the strike-off notice. Overdue annual filings and NCLT or liquidation work are quoted separately. Fees exclude GST and government charges. Payment is 50% upfront and 50% on delivery.
