Under Section 139 of the Companies Act, 2013, every company must appoint a statutory auditor and notify the Registrar of Companies in Form ADT-1. For a company with its registered office in Bangalore, that notification goes to ROC Bangalore. LLPs do not file ADT-1. An LLP appoints an auditor only where its turnover exceeds Rs 40 lakh or its contribution exceeds Rs 25 lakh, and the appointment is not notified in ADT-1.
The proposed auditor must be a practising chartered accountant or firm, and must not attract any disqualification under Section 141.
