CW · OVERVIEW

Karnataka has its own Act, and its own registrar

Generic guides describe society registration under the Societies Registration Act, 1860. That Act does not govern a new society in Bengaluru. Karnataka enacted the Karnataka Societies Registration Act, 1960, which came into force on 15 June 1961, and a society formed here is registered and supervised under it.

The registrar is also not the one older guides name. Registration of societies in Karnataka is now handled by the Department of Co-operation, through District Registrars of Societies. Bengaluru Urban is split into zonal District Registrar offices, and the society files with the zone covering its registered office.

The Karnataka Act differs from the 1860 Act in ways that matter after registration: it sets a hard deadline for the annual filing, requires a qualified auditor, and lets the Registrar cancel a society that stops filing. Those obligations are set out below, because most Bengaluru societies that get into difficulty do so there, not at registration.

CW · WHO IT APPLIES TO

Who can form a society in Bengaluru

Under Section 5 of the Karnataka Act, any seven or more persons above the age of 18 may form a society by subscribing their names to a memorandum. Section 4 bars registration of a society with fewer than seven such members, except one in which the State Government is a member.

Section 3 lists the purposes for which a society may be registered, including charity, education, science, literature and the fine arts. A society is the natural vehicle for a residents' or alumni association, a cultural or professional body, a school managing committee or a community welfare group that wants elected management.

Section 7 lets the Registrar refuse a name he considers undesirable, including one identical to or too close to an existing society's name. We check the proposed name against registered societies before drafting, because a name objection forces the whole set of signed documents to be redone.

The Department of Co-operation runs an online societies portal at societyreg.karnataka.gov.in, which includes a public search to verify a registered society. We file through the channel the jurisdictional office currently accepts and keep the acknowledgement for your records.

CW · PROCESS

The process, step by step in Bengaluru

Step 1. Founders, objects and governing body

We confirm the seven or more founders, the objects and the first governing body, and check that a society suits you better than a trust or a Section 8 company.

Step 2. Name check

The proposed name is searched against registered societies, with alternates kept ready.

Step 3. Draft the memorandum and rules

The rules are written to the Karnataka Act: an AGM every year, audited accounts placed before it, the Section 13 filing, the procedure for amending the memorandum and rules, and a dissolution clause that sends surplus assets to another charitable body.

Step 4. Signatures and documents

Members sign the memorandum, and identity, address and premises documents are collected and checked against the Registrar's list.

Step 5. Filing with the District Registrar

The application is filed with the zonal District Registrar of Societies with the prescribed fee.

Step 6. Scrutiny and queries

The Registrar examines the objects, name and rules. We answer queries and refile corrections until the registration is issued.

Step 7. Certificate of registration

Under Section 8, once satisfied, the Registrar issues the certificate of registration. We then apply for the society's PAN and prepare the bank account set.

Step 8. 12A, 80G and funding registrations

Form 104 is filed with CIT (Exemptions), Bengaluru for provisional registration under Section 332 and approval under Section 354 of the Income-tax Act, 2025 (old 12A and 80G), followed by NGO Darpan and CSR-1 where relevant.

CW · ONGOING COMPLIANCE

The annual cycle that keeps a Karnataka society registered

RequirementKarnataka Act position
First AGMWithin 18 months of registration under Section 11(2); the Registrar may extend this by up to six months
AGM every yearAudited balance sheet, income and expenditure account and auditor's report placed before it, under Section 11(1)
Books of accountKept under Section 12, giving a true and fair view
Section 13 filingGoverning body list with audited accounts, on or before the 14th day after the AGM
AuditorMust be qualified to audit company accounts, which in practice means a chartered accountant
Non-filingFine for late filing; the Registrar may cancel the registration after five consecutive years without filing

Bengaluru Registrar offices acknowledge the Section 13 filing as the society's renewal, and the acknowledgement records the audited year and the governing body for the coming year. A society that misses it does not lose registration overnight, but it cannot produce the current acknowledgement that banks, donors and CSR partners increasingly ask for.

Changing the memorandum or rules

Changes to the memorandum must be filed with the Registrar within 30 days under Section 9(2), and amendments to the rules within 30 days under Section 10(2). The Registrar may condone a delay of up to one year where sufficient cause is shown.

CW · PENALTIES

Tax and funding registrations

RegistrationWhat it does
12A (Section 332)Exempts the society's own income. Filed with CIT (Exemptions), Bengaluru.
80G (Section 354)Lets donors claim a deduction
NGO DarpanNITI Aayog registration for government grants
CSR-1Needed before companies can route CSR funds to the society
FCRANeeded before any foreign contribution is accepted

The Section 13 acknowledgement and the audited accounts it covers are the same documents the exemption authority and CSR partners rely on, so a society that keeps its Karnataka filings current is already most of the way to a clean 12A and 80G file.

Why CorporateWalla

We are a CA and CS practice operating under DSG CORPORATE FINANCIAL ADVISORS LLP, working with Bengaluru organisations from our office at 26, Krishnalaya Complex, 4th Cross, N.R. Road, Bengaluru 560002.

  • We draft to the Karnataka Act, so your rules do not cite the 1860 Act or miss the 14-day filing.
  • Our CAs can audit the society's accounts and handle the Section 13 filing each year.
  • We treat 12A, 80G and CSR-1 as part of the job rather than an afterthought.
CW · COMMON MISTAKES

Mistakes we see on Bengaluru society files

  • Rules copied from a Delhi or 1860 Act template, which the Registrar returns or which leave the society without a workable AGM and filing procedure.
  • Fewer than seven adult members, or a minor counted among the founders, which Section 4 does not allow.
  • Holding no AGM within 18 months of registration, which starts the society off in default.
  • Treating the Section 13 filing as optional. After five consecutive years without filing, the Registrar may cancel the registration.
  • Changing the governing body or rules and not filing within 30 days.
  • Accepting foreign donations before FCRA registration. Our society registration guide covers the sequence.

CW · LOCAL SCENARIO

A Bengaluru example

A Bengaluru alumni association registered in 2019 with rules downloaded from a Delhi website. It held AGMs but never made a Section 13 filing. When a corporate donor asked for the current Registrar acknowledgement before releasing a CSR grant, the association had none. We had the pending years' accounts audited, filed the overdue governing body lists and accounts with the late fines, and redrafted the rules to the Karnataka Act. The grant was delayed by a quarter rather than lost.

Illustrative scenario based on typical file patterns. Not a named client engagement.
